These Terms of Service ("Terms") govern your use of the financial data processing services provided by GridBK ("we", "us", "our"). By subscribing to GridBK, you agree to these Terms.
GridBK provides automated transaction categorization and financial report generation based on bank data and client-provided information ("the Service"). The Service is a data processing tool, not a professional accounting, tax preparation, audit, or advisory service. GridBK does not provide tax advice, financial planning, compliance review, or any form of professional accounting opinion. The Service does not replace the need for a qualified accountant or tax professional. You are responsible for engaging your own accountant or tax advisor for all tax filing, compliance, and advisory needs.
You are solely responsible for the accuracy, completeness, and legitimacy of all information provided to the Service, including but not limited to: (a) bank transaction files uploaded to the platform, (b) transaction categorizations provided in response to suspense resolution requests, and (c) opening balance and prior-year financial data provided during onboarding.
The Service categorizes transactions based on your instructions and applies automated rules derived from your prior categorization decisions. GridBK does not independently verify whether any transaction categorization is accurate, appropriate, or compliant with applicable tax law. You acknowledge that incorrect categorization instructions will result in incorrect financial reports and may result in automated rules that perpetuate the error in future periods.
GridBK shall not be liable for any tax penalty, assessment, interest, or other consequence arising from inaccurate transaction categorizations provided by you.
The Service operates on a monthly cycle. You will receive automated communications requesting bank data uploads and transaction categorization responses at regular intervals. Your participation in the monthly cycle, including timely upload of bank data and response to categorization requests, directly affects the completeness and accuracy of your financial reports.
Finished monthly reports are sent only once every transaction for the period has been classified. If a transaction cannot be classified, you will receive a list of the unclassified transactions by email and reports for that period are held until you respond. Unclassified transactions from earlier periods also hold reports for later periods. The subscription fee covers the availability of the Service and applies whether or not data is uploaded or requests are answered. Non-participation does not constitute grounds for a refund, billing adjustment, or service credit.
The Service is provided on a month-to-month subscription basis at the rate specified at the time of enrollment. Subscription fees are billed monthly to the payment method on file and are non-refundable. The subscription remains active and billable until explicitly cancelled by you. Non-use of the Service, including failure to upload data or respond to communications, does not suspend, pause, or reduce the subscription fee. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds will be issued.
By subscribing to the Service, you consent to receive electronic communications related to the Service, including but not limited to: (a) monthly transaction data upload reminders via email, (b) requests to identify unclassified transactions via email, and (c) monthly financial report delivery via email.
Email communications are required for the operation of the Service and cannot be disabled while the subscription is active. To stop them, cancel the subscription by emailing [email protected].
You consent to receive these communications in accordance with Canada's Anti-Spam Legislation (CASL). Your consent is considered express consent for the duration of your subscription and for two years following cancellation, for the limited purpose of account-related communications.
All financial data, transaction records, and reports generated by the Service on your behalf remain your property. GridBK claims no ownership interest in your data. Upon cancellation, you may request a copy of your data, including all generated reports, within thirty (30) days by emailing [email protected]. After this period, your data will be permanently deleted from our systems. GridBK will not transfer, sell, or share your financial data with any third party, except as required by law or as necessary to provide the Service (e.g., email delivery of reports to your designated email address).
To the maximum extent permitted by applicable law, GridBK's total liability to you for any and all claims arising from or related to the Service shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the claim. GridBK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, regardless of whether such damages were foreseeable or whether GridBK was advised of the possibility thereof.
Without limiting the foregoing, GridBK shall not be liable for: (a) errors in financial reports resulting from inaccurate data or categorization instructions provided by you, (b) tax penalties or assessments resulting from reliance on reports generated by the Service, (c) any loss or damage resulting from your failure to upload data or respond to Service communications, or (d) any interruption or delay in the Service due to circumstances beyond GridBK's reasonable control.
The Service maintains an automated engagement record for each subscription, documenting: data uploads received, imports processed, categorization requests sent, client responses received, and report generation events. This record is kept for each subscription and is available to you on request. The engagement record is generated automatically by the Service and constitutes a factual account of Service activity. You acknowledge that the engagement record may be relied upon by GridBK in the event of any dispute regarding the quality, completeness, or timeliness of the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
